Intel has increased the size of its previously announced common stock offering to $20 billion and priced the sale at $95 per share, with the semiconductor company expecting to complete the transaction on August 12, 2026, subject to customary closing conditions.
The offering comprises 210,526,315 shares of Intel common stock. Underwriters have also been given a 30-day option to buy up to 31,578,947 additional shares at the same public offering price, less underwriting discounts. The company had initially planned to raise $15 billion through the offering.
If the underwriters do not exercise their additional-share option, Intel expects to receive approximately $19.7 billion in net proceeds after underwriting discounts, commissions and estimated offering expenses.
Intel said it plans to use the proceeds for general corporate needs. Potential uses include capital expenditures and working capital, although the company did not provide a more detailed allocation of the funds.
The transaction comes as Intel continues to invest heavily in semiconductor manufacturing and technology. The company is also facing substantial long-term spending requirements tied to research, development and manufacturing capacity.
J.P. Morgan, Goldman Sachs & Co. LLC, Morgan Stanley and Citigroup are serving as joint book-running managers. Barclays, BofA Securities, BNP Paribas, Credit Agricole CIB, Deutsche Bank Securities, Mizuho, RBC Capital Markets, TD Securities, Wells Fargo Securities and Cantor are among the other book-running managers.
Intel disclosed that the offering is being conducted under a registration statement filed with the U.S. Securities and Exchange Commission. The company cautioned that completion of the transaction remains subject to closing conditions.
The stock sale is part of Intel’s broader efforts to maintain financial flexibility while pursuing investments in its semiconductor business. The company has identified capital spending and working capital as potential destinations for the newly raised funds.
